Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and BuildEasyPro ("we," "us," or "Company") governing your access to and use of the BuildEasyPro software-as-a-service platform at app.buildeasypro.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you don't agree, do not use the Service.

You must provide accurate, current, and complete information when you register. You're responsible for safeguarding your password and for any activity that occurs under your account. Notify us immediately at support@buildeasypro.com of any unauthorized use.

We offer a 14-day free trial. No credit card is required to start. At the end of the trial you may subscribe to a paid plan or your account will become read-only until subscribed. We reserve the right to modify trial terms, including duration and feature access.

• Subscription fees are billed monthly in advance based on your selected plan.
• You authorize us, through our payment processor Stripe, to charge your payment method on a recurring basis.
• You may cancel at any time from the Settings → Billing page. Cancellation takes effect at the end of the current billing period; no refunds for the current period.
• If your payment fails, we'll attempt to retry. If unsuccessful after several attempts, the account may be suspended.
• Plan prices may change with 30 days' notice for existing subscribers.

You own all data you upload, create, or store on the Service ("Customer Content") — including leads, projects, proposals, invoices, photos, and documents. We never claim ownership. You grant us a limited license to process your content only as needed to provide the Service.

On cancellation, you may export your data via CSV before access ends. We retain your data for 30 days after cancellation in case you reactivate, then permanently delete it.

You agree not to:

• Use the Service for any illegal purpose or to violate any laws
• Upload malware, viruses, or harmful code
• Attempt to gain unauthorized access to other accounts or our systems
• Resell, sublicense, or white-label the Service without written permission
• Use the Service to send unsolicited commercial messages (spam)
• Reverse engineer, decompile, or attempt to extract our source code

The Service includes electronic signature functionality compliant with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and Uniform Electronic Transactions Act (UETA). When you or your customers sign documents electronically, you consent to receive and sign records electronically, and you agree that electronic signatures have the same legal effect as handwritten signatures.

The Service integrates with third-party services including Stripe (payments), Resend (email), Google Maps, Cloudflare R2 (file storage), Anthropic (AI chat), and Vercel (hosting). Your use of these services is subject to their respective terms.

We target 99% uptime but make no guarantees. The Service may be unavailable due to scheduled maintenance, emergency repairs, or events beyond our control. We are not liable for any losses resulting from downtime.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Customer Content, or your violation of these Terms.

We may suspend or terminate your access immediately, without notice, for any breach of these Terms. You may terminate at any time by canceling your subscription.

We may update these Terms from time to time. Material changes will be announced via email and an in-app notice. Continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.
